Here is an example of what goes into a scope of work, this is a bit more detailed then the simple version on this site. As with all contracts, please review all legalese with your lawyer.

This Statement of Work is entered into by and between ("Client") and ("Agency") incorporated under the laws of (“your state name here”). (“Consultant”), signing below pursuant to the Services Agreement between the parties (the “Agreement"), and is subject to the terms and conditions of the Agreement.
BACKGROUND
Short introduction section, which provides the reader with a quick synopsis of the planned work being requested.
The background section should be short, described in general terms and identify key requirements. It should describe why the project is being pursued and how it relates to other projects. Summarize the overall requirement and identify and background materials that will be attached to the SOW.
Example, “This project is for the creative development and production of the new “Neo-Widget Microsite.” It will include the introduction of the new Widget product line to the consumers in a new section on the main Widget website. It will present the features and benefits of the new product line in a rich and compelling manner, including interactive featurettes and product video. It will allow customers to explore the device through imagery, interactive features and customer testimonial videos…”
SCOPE OF WORK
The section should provide a brief statement of what the agency expects to accomplish under the “scope of work” contract – the breadth and limitations of the contract effort. Specific work tasks or description of the deliverables should not be included in this section, as it will be included in the “Tasks/Requirements” section that will follow.
Example, “This Statement of Work covers the design and development of the new section as well as promotion sections on the main consumer product gateway. The following pages and features have been identified as components of this project… The project is limited to only the… Additions or removal of the features as listed in the tasks/ requirement sections will be agreed upon and scoped via a Project Change Notice.”
OBJECTIVES
This section provides a concise overview of the contract effort goals and objectives; and how the results or end products will be used.
TASKS / REQUIREMENTS
This section defines the tasks that the agency must complete during the contract. The description of the task requirements can be identified in several ways, however, the section should specify requirements clearly, so that all readers can understand them. Reference only the absolute minimum applicable specifications and standards needed. Use simple words, phrases and sentences. Be precise and consistent in describing the project tasks and requirements. Use the terms “shall,” “must,” and “will,” to describe specific requirements. Avoid using ambiguous terms such as “should,” or “may.” Make sure you are consistent when using terminology. You may even want to add an addendum at the end specifically define certain words. Avoid using open ended phrases or vague language. This is the area where every word should be considered thoughtfully, as this is the main section of the contract.
PROCESS

Design
The design phase begins with Interaction Design. The goal of Interaction Design is to create a simple user experience through human interface guidelines, information architecture and navigation.
The Interaction Design team will create a site map to identify the key pages for the Neo Widget section. Upon approval of the site map, the team will create wireframes for each page identified in the site map for 10 - 15 page templates. The agency will revise this set of wireframes up to two times based on feedback from the client.
Once wireframes are approved, the agency will design two visual directions for the “Neo Widget” page based on the branding guidelines previously created by the The Agency Brand Development team. Both directions will be presented to the Client and one selected for revisions. The agency will revise this direction and present for final approval. Once this design is approved, it will be applied to the remaining pages in the development stage.
Development
Upon approval of the visual design direction, The agency will produce visual design boards for each wireframes identified in the interaction design phase, up to a total of 10-15. The agency will make up to 2 rounds of revisions to each board. The final boards will be delivered to the client in Photoshop PSD format with all layers intact so that additional revisions can be made as needed. Each board will be cut and optimized into the graphic elements required to code the pages. The agency will also provide a style guide.
Once designs have been approved, the agency will code each page in html/.js and integrate into the current widge.com site using the CDS content management system. Any flash components will be coded at this time. The agency Quality Assurance team will examine all code against standard industry requirements as well as any specific requirements set by the client ‘s(as listed in the addendum) technology. Specifically, the microsite must be optimized for (Insert latest browser & mobile flavors).
Once final code has been submitted, the agency will provide the client with any documentation necessary for continued maintenance.
PERIOD OF PERFORMANCE
Describe in detail the period of performance, the length of time that the SOW will cover, you can state actual dates, days after contract award, or use a timeline method. If different periods of performance will apply to different tasks, the tasks and related periods of performance should be clearly identified. You should also detail what would happen if the project is over or under delivered.

Schedule
The following is a recommended schedule for development of all project deliverables. A detailed project schedule will be provided following Discovery. If schedule is delayed due to late receipt of client deliverables or late client approvals, the project schedule and budget estimate will be revised to reflect additional time needed to complete the project. No work may proceed until the agency has received a signed copy of this Statement of Work.

Budget
The budget below represents a fixed cost for the deliverables and schedule outlined in this Statement of Work. Any changes to the list of deliverables or to the schedule could lead to a change in the fixed costs outlined below. Agency will provide a separate budget for any changes to the project scope.
Budget Notes:
The following items are not included in the fee amount listed above and are considered out of pocket expenses:
- All out of pocket expenses incurred in the course of delivery of the services specified in this SOW will be billed to client at cost.
- Licensing of any stock audio, music, photography or video. When designs are first presented, agency must notify client if any of the materials used will required such additional costs. That knowledge may play a factor in the creative decision the client makes.
- Hardware purchases, software purchases or hosting services.
- Costs associated with delivery and monitoring of mass email (e.g., email blast software or services).
- Third party research and/or testing costs.
- Online media fees.
- Non-local travel associated with the deliverables. Client will pre-approve all non-local travel in writing prior to agency purchasing non-refundable tickets.
The following items are not included in the fee amount listed above and are considered out of scope services. Should any of these items or services be required in the course of delivery of the services specified in this SOW, agency will provide a separate SOW for these services. Again, when designs are first presented, agency must notify client if any of the materials used will required such additional costs. That knowledge may play a factor in the creative decision client makes.
- Talent fees, stylist fees and usage rights.
- Creation of original audio, music, photography or video.
- The design of corporate identity logos or icons.
Invoicing & Payment
Invoicing for the agency fee will be according to the following schedule:
1/3 upon receipt of signed Statement of Work and purchase order.
1/3 upon final visual design.
1/3 upon final delivery of website code.
Out-of-Pocket and third party vendor costs as defined above will be invoiced as incurred.
Terms & Conditions
This price quotation will be honored for 30 days from the day it was sent.
XX% deposit of $XX.XX will be required prior to the day of work. In the event of your cancellation of this project or non-payment, we will invoice you for all the work completed up to the date and time of cancellation, including incurred fees and expenses. Any deviation from original project scope as described in the overview in this document may result in change in price. Should this occur, client will be made aware of change as soon as possible. Any alterations by the client of project specifications may result in price changes. Any changes or extensions to this schedule, and/or changes to the deliverables, will result in additional costs. All additional costs exceeding the original estimate will be quoted to and approved by Client before costs are incurred.
